Terms of Service

Welcome to kloqd ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the kloqd platform, including our website at kloqd.com, mobile applications, and related services (collectively, the "Platform").

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Overview

kloqd is an on-demand hospitality staffing marketplace that connects businesses and venues ("Clients") with independent hospitality professionals ("Workers"). The Platform facilitates shift posting, worker matching, time tracking, and invoicing. kloqd does not employ Workers directly — all Workers operate as independent 1099 contractors.

2. Eligibility

You must meet the following requirements to use the Platform:

  • Be at least 18 years of age
  • Have the legal right to work in the United States
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Account Types

Workers

Workers register as independent contractors. By creating a Worker account, you acknowledge that you are not an employee of kloqd or any Client on the Platform. You are responsible for your own taxes, insurance, and compliance with applicable laws. Workers must complete all required onboarding steps, including signing the Independent Contractor Agreement and Company Policies, before accessing shift opportunities.

Clients

Clients are businesses or venues that post shift opportunities. Clients are responsible for providing accurate shift details, maintaining a safe work environment, and reviewing and approving timecards in a timely manner.

Agencies

Agencies are staffing companies that manage rosters of Workers. Agencies may recruit Workers, assign them to shifts, and earn a fee percentage as configured on the Platform.

4. Independent Contractor Relationship

Workers on the Platform are independent contractors, not employees of kloqd or any Client. Nothing in these Terms creates an employment, partnership, or joint venture relationship. Workers retain full control over when and where they choose to work. kloqd does not control the manner or method by which Workers perform their services.

5. Shifts and Payments

Clients post shifts with specified positions, locations, times, and pay rates. Workers may apply to shifts at their discretion. Upon approval, Workers are expected to arrive on time and fulfill the shift requirements.

Payment for completed shifts is calculated based on approved timecards. kloqd facilitates invoicing and payment processing between Clients and Workers. Payment terms and processing timelines are subject to our current payment policies.

6. Cancellation Policy

Workers who cancel a confirmed shift with less than 24 hours' notice may be subject to account penalties, including reduced visibility for future shifts. Clients who cancel shifts with less than 24 hours' notice may still be responsible for partial compensation as outlined in the Company Policies.

7. Conduct and Compliance

All users agree to:

  • Comply with all applicable federal, state, and local laws
  • Treat other Platform users with professionalism and respect
  • Not engage in harassment, discrimination, or any form of misconduct
  • Provide truthful and accurate information in profiles, timecards, and reviews
  • Not circumvent the Platform to arrange direct engagements that bypass kloqd
  • Not create duplicate or fraudulent accounts

8. Background Checks

kloqd may facilitate background verification checks on Workers as required by Clients or applicable law. By creating a Worker account, you consent to such checks being performed. Background check results are shared with Clients reviewing applications and are used solely for staffing decisions.

9. Reviews and Ratings

Clients may review and rate Workers after completed shifts. Reviews must be honest, fair, and based on the Worker's actual performance. kloqd reserves the right to remove reviews that violate these Terms or our community guidelines.

10. Intellectual Property

The Platform, including its design, features, content, and technology, is owned by kloqd and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written consent.

11. Limitation of Liability

To the maximum extent permitted by law, kloqd is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. This includes, but is not limited to, damages for lost profits, lost revenue, or loss of data.

kloqd does not guarantee the quality, safety, or legality of services provided by Workers or the accuracy of information provided by Clients. Users engage with each other at their own risk.

12. Indemnification

You agree to indemnify and hold harmless kloqd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Account Suspension and Termination

kloqd may suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or conduct that harms other users or the Platform. You may delete your account at any time by contacting support at staffing@kloqd.com.

15. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 14 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
